Legal Dimensions of Public-Private Partnerships in Infrastructure Development: Lessons from Kaduna State

Public-private partnership arrangements have become an increasingly significant modality for infrastructure financing in Nigeria, offering governments access to private capital and technical expertise while enabling private investors to participate in public sector projects. Kaduna State, in the North West geopolitical zone, has implemented several PPP arrangements in the road, power, and water sectors under its state-level PPP policy framework. This study examines the legal dimensions of PPP implementation in Kaduna State, assessing the adequacy of project agreements, risk allocation mechanisms, and regulatory oversight arrangements. A professional case study methodology was employed, analysing three concluded PPP project agreements with the support of documents obtained from the Kaduna State Investment Promotion Agency. Supplementary data was gathered through interviews with infrastructure lawyers, state PPP unit officers, and private sector project sponsors. Secondary sources include the National PPP Policy 2022, Infrastructure Concession Regulatory Commission publications, and academic literature from 2020 to 2024. Findings indicate that legal risk allocation in Kaduna PPP agreements frequently does not reflect international best practices, particularly regarding termination compensation, renegotiation triggers, and foreign exchange risk. Concession monitoring mechanisms are inadequately resourced and operationally inconsistent. Recommendations include adopting standardised PPP agreement templates aligned with ICRC guidelines, strengthening state PPP regulatory units, and training procurement officials on legal risk in infrastructure concessions.
