Managing Legal Risks in Nigerian Joint Venture Agreements: Oil and Gas Sector Perspectives

Joint venture arrangements are the dominant commercial structure for upstream oil and gas operations in Nigeria, enabling international oil companies and the Nigerian National Petroleum Company Limited to share technical capabilities, capital requirements, and operational risk. The legal management of joint venture agreements in this sector requires specialised understanding of operating agreements, lifting entitlements, default provisions, and the interplay between contractual and regulatory obligations under the Petroleum Industry Act 2021. This study examines legal risk management practices in Nigerian oil and gas joint ventures, drawing on structured interviews with upstream legal counsel, joint venture audit managers, and NNPC Limited commercial officers. A professional case study methodology was adopted, supplemented by analysis of published joint venture dispute decisions and relevant PIA provisions from 2021 to 2024. Secondary sources include energy law texts, NNPC publications, and comparative international petroleum agreement studies. Findings reveal that the most frequent legal risks in Nigerian JV practice arise from cash call defaults by state joint venture partners, disputes over cost recovery eligibility, and ambiguities in operating committee decision-making authority. The transition to the PIA's new fiscal and commercial framework has introduced additional legal uncertainties in legacy JV agreements. Recommendations include standard contractual amendments to address PIA transitional provisions, proactive JV audit programmes, and mediation provisions specifically designed for cash call dispute management.
