The Role of the Company Secretary in Corporate Governance of Quoted Companies on the Nigerian Exchange Group

📖 ABSTRACT/OVERVIEW

This study examines the professional role of the company secretary in the corporate governance of companies quoted on the Nigerian Exchange Group (NGX), with particular attention to how effective secretarial governance supports regulatory compliance, board functioning, and shareholder relations. The company secretary occupies a strategic governance role that has expanded considerably in response to the Securities and Exchange Commission's revised corporate governance codes. The study adopts a professional application design, targeting company secretaries, governance officers, and board chairpersons in twenty NGX-quoted companies across diverse sectors. Data collection instruments include structured questionnaires and governance quality assessment checklists. The Corporate Governance Theory and the Agency Theory provide the theoretical foundation, with reference to literature from 2020 to 2024 on secretarial governance in Nigerian capital markets. Dimensions evaluated include board administration quality, statutory compliance tracking, stakeholder communication management, and contribution to governance reform. Recommendations are directed at the Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN) and the Securities and Exchange Commission. Keywords: company secretary, corporate governance, Nigerian Exchange Group, compliance, quoted companies
