This study examines board dynamics and their effect on strategic governance in Nigerian state-owned oil companies, with a specific focus on NNPC Limited following its corporatisation under the Petroleum Industry Act 2021. The conversion of the Nigerian National Petroleum Corporation into NNPC Limited represents a landmark governance reform, introducing new board accountability structures, financial reporting obligations, and commercial orientation requirements. Drawing on corporate governance transformation theory and strategic leadership literature, this study evaluates how the newly constituted NNPC board navigates the transition from a government agency governance model to a commercial corporate governance framework. A qualitative case study design is adopted, drawing on legislative documents, NNPC Limited annual reports, and semi-structured interviews with ten governance and energy sector professionals. Board dynamics are examined through the lenses of director independence, board-management relations, and strategic decision-making quality. The study anticipates that governance transformation is gradual, with early years characterised by tension between commercial governance expectations and residual public sector decision-making norms. Findings will assist the Ministry of Petroleum Resources, NNPC board, and energy governance reform advocates in managing the transition effectively.
