Mergers and Acquisitions and Corporate Performance: Evidence from the Nigerian Banking Industry Post-2006 Consolidation

The 2006 banking sector consolidation in Nigeria, which mandated minimum capital requirements and triggered a wave of mergers and acquisitions (M&A), fundamentally restructured the industry and generated a rich empirical setting for studying the performance effects of M&A activity. This study examines the relationship between mergers and acquisitions and corporate performance in the Nigerian banking industry, with contextual relevance to banking operations in Enugu State. The research is anchored on the Synergy Theory of Mergers, which posits that merged entities achieve superior performance through cost efficiencies, expanded market access, and combined managerial and technological capabilities. An ex-post facto research design was adopted. The population comprised all 23 banks that underwent merger or acquisition processes during the 2005 to 2021 period. Secondary data were extracted from Central Bank of Nigeria supervisory reports, annual accounts of banks, and the Nigerian Exchange Group database. Panel data regression was applied to a dataset spanning 2006 to 2023. Findings reveal that post-merger return on assets, capital adequacy ratios, and non-performing loan ratios improved significantly in the three to five years following consolidation. However, the results also indicate that integration challenges, including cultural misalignment and talent attrition, moderated performance gains in the immediate post-merger period. It is concluded that M&A activity, when strategically planned and post-merger integration is carefully managed, generates significant corporate performance improvements in the Nigerian banking sector. The study recommends that bank boards invest in structured post-merger integration roadmaps and cultural harmonisation programmes to accelerate the realisation of merger synergies.
