Commercial lease agreements in Nigeria's rapidly growing retail sector often give rise to disputes about rent escalation, repair obligations, early termination rights, and service charge calculations, highlighting the critical importance of effective lease drafting. This study examines practical approaches to drafting effective commercial leases in Nigeria's retail real estate sector, focusing on shopping centres and retail parks in Lagos, Abuja, and Port Harcourt. Using a practitioner-focused methodology, the research analyses 40 commercial lease agreements executed between 2019 and 2024 and conducts structured interviews with 30 commercial property lawyers and 20 retail real estate managers. Findings reveal that commercial lease disputes in Nigeria are most frequently caused by ambiguous rent review clauses, inadequate service charge mechanisms, poorly defined permitted use clauses, and absent or unenforceable dilapidations provisions at lease end. The study further examines how standard commercial lease templates used in Nigeria compare unfavourably with international best practice in terms of clarity, balance, and enforceability. Recommendations include the development of professional standardised commercial lease frameworks for the Nigerian retail market, mandatory pre-execution review by qualified property lawyers, the introduction of professional lease negotiation training for real estate practitioners, and the codification of landlord and tenant rights in commercial property.
