Redefining Unconscionability in Nigerian Contract Law: An Analytical Study of Power Imbalance in Standard-Form Contracts

Standard-form contracts between economically powerful enterprises and individual consumers represent the dominant form of contracting in contemporary Nigeria, yet the inadequacy of unconscionability doctrine to police abusive terms in this context creates significant private law injustice. This study analytically redefines the scope of unconscionability in Nigerian contract law with reference to power imbalances in standard-form contracting, examining financial services, telecommunications, and utility service agreements. Using a doctrinal methodology supplemented by analysis of 30 standard-form contract disputes from Nigerian courts between 2018 and 2024 and interviews with 20 consumer law scholars and 15 contract lawyers in Lagos and Enugu, the research evaluates whether current unconscionability doctrine is adequately equipped to address procedural and substantive unfairness in contracts of adhesion. The study draws on comparative analysis with the Australian unfair contract terms regime, the European Unfair Contract Terms Directive, and the Indian Consumer Protection Act to construct a reform framework. Findings reveal that Nigerian courts have applied unconscionability too narrowly, focusing on extreme facts rather than systemic power imbalances, and that the Federal Competition and Consumer Protection Act's unfair terms provisions have significant implementation gaps. The research provides an original analytical contribution by proposing an adapted unconscionability standard for standard-form contracts in Nigeria. Recommendations include legislation on unfair contract terms, proactive regulatory review powers, and judicial education on behavioural economics of contract.
