Examining the Validity and Limits of Exemption Clauses in Nigerian Consumer Contracts

Exemption clauses in consumer contracts, which purport to limit or exclude liability for breach or negligence, represent a significant private law problem in Nigeria where consumer awareness is low and regulatory oversight of standard-form contracts remains inadequate. This study examines the validity and judicial limits applied to exemption clauses in Nigerian consumer contracts, analysing the application of the contra proferentem rule, the reasonableness test, and statutory control provisions under the Federal Competition and Consumer Protection Act 2018. Using a doctrinal methodology supplemented by empirical analysis of 40 consumer contract cases decided by Nigerian courts between 2018 and 2024, the research maps the conditions under which Nigerian courts have refused to enforce exclusion clauses in consumer settings, including those used by banks, airlines, hotels, and telecommunications companies. The study further surveys 200 consumer contract users in Lagos and Enugu to assess awareness of exclusion clauses and their legal significance. Findings reveal that Nigerian courts have inconsistently applied reasonableness tests and that the Federal Competition and Consumer Protection Act's unfair contract terms provisions have not been systematically enforced against large consumer-facing businesses. The research fills an empirical and doctrinal gap in Nigerian consumer contract scholarship. Recommendations include the enactment of a dedicated Unfair Contract Terms Act modelled on the UK's 1977 legislation, mandatory plain-language disclosure of exclusion clauses, and enhanced Federal Competition and Consumer Protection Commission enforcement activity.
