A Theoretical Investigation of Cooperative Society Governance Failure: Causes, Consequences, and Recovery in Nigerian Contexts

Governance failure in cooperative societies, manifesting as board capture, financial fraud, democratic deficit, and management incompetence, represents a recurring and costly phenomenon in Nigerian cooperative history. Despite its frequency and significance, governance failure in cooperatives has not been theoretically modelled in a systematic manner applicable to the Nigerian context. This study conducted an original theoretical investigation of cooperative governance failure, its causes, consequences, and recovery mechanisms, drawing on Nigerian cooperative society case evidence. A multi-method theory-building approach was employed, combining institutional failure analysis of 30 documented Nigerian cooperative governance failure cases from 2015 to 2023 (sourced from state cooperative registry records, newspaper documentation, and court records), grounded theory interviews with 40 former and current leaders of failed or distressed cooperatives in Anambra, Kaduna, and Oyo States, and theory development through abductive inference from case and interview patterns. Analysis identified four failure pathways: elite capture (takeover of cooperative resources by a dominant leadership faction), agency drift (systematic management deviation from member interests), external shock vulnerability (governance collapse precipitated by economic or security shocks), and membership attrition failure (progressive decline of engaged membership below governance sustainability threshold). An original Cooperative Governance Failure Typology with distinct causal chains and recovery prognoses for each pathway was developed. Recovery mechanisms empirically identified include external regulatory intervention, membership reconstitution, leadership restructuring, and capital reconstruction strategies differentiated by failure type. The typology constitutes an original contribution to cooperative governance theory.
