Ownership Structure, Board Diversity, and Financial Performance: Panel Evidence from Nigerian Listed Firms

This study examines the interactive effects of ownership structure and board diversity on financial performance in companies listed on the Nigerian Exchange Group. Corporate governance research increasingly recognizes that ownership concentration, managerial ownership, and board composition characteristics jointly determine the effectiveness of organizational decision-making and oversight. In Nigeria's emerging market context, where family and state ownership patterns coexist with growing institutional participation, understanding these governance dynamics is particularly relevant. This study uses panel data from 50 listed companies across banking, consumer goods, and industrial sectors for the period 2016 to 2023. Ownership structure is measured using Herfindahl-Hirschman index of ownership concentration, managerial ownership percentage, and foreign ownership share. Board diversity is assessed using gender diversity, professional diversity, and educational background heterogeneity. Financial performance is proxied by return on assets, Tobin's Q, and earnings per share. Dynamic panel GMM estimation is employed. Results indicate that ownership concentration has a non-linear (inverted U-shaped) relationship with financial performance, with moderate concentration associated with the best outcomes. Board gender diversity has a significant positive effect on performance, while board size beyond seven members shows diminishing returns. Foreign ownership is positively and significantly associated with both accounting and market performance. The study recommends that Nigerian listed companies actively diversify board composition and pursue partial international ownership as governance quality signals.
