Developing an Original Theoretical Framework for Understanding Regulatory Legitimacy Deficits in Nigerian Business Law Institutions

Regulatory legitimacy is a foundational concept in public law theory, yet the systematic study of legitimacy deficits in Nigerian business law regulatory institutions, including the FCCPC, SEC, NAICOM, and CBN, has not been undertaken using a coherent theoretical framework. This study develops an original Regulatory Legitimacy Deficit Framework (RLDF) for Nigerian business law institutions, integrating normative legitimacy theory, procedural justice theory, and institutional performance theory to explain why regulatory institutions in Nigeria frequently lack the social acceptance necessary to achieve compliance-based rather than enforcement-based regulatory outcomes. The framework is developed through three phases: conceptual synthesis drawing on 150 sources in regulatory theory, administrative law, and comparative African institutional governance; expert consultation with 40 senior regulatory practitioners and academic lawyers across Nigeria's geopolitical zones using modified Delphi methodology; and empirical validation through a structured survey of 300 regulated entities assessing perceived legitimacy of five major Nigerian business law regulators across four dimensions of input legitimacy, throughput legitimacy, output legitimacy, and sociological legitimacy. Results confirm that input legitimacy (appointment processes, stakeholder participation) scores are the most consistently low dimension across all five regulators. Output legitimacy (effectiveness of regulatory decisions) is moderated by institutional independence levels. The RLDF explains variance in voluntary compliance rates significantly better than existing institutional performance models. The study constitutes an original theoretical contribution to African regulatory law scholarship and generates specific legitimacy enhancement recommendations for each studied institution.
