📖 ABSTRACT/OVERVIEW
This dissertation investigates the relationship between pension fund governance quality, environmental stewardship orientation, and long-term investment behaviour in Nigerian listed equities. Pension funds, as the largest pool of domestic institutional capital in Nigeria with over 18 trillion naira under management, possess unique governance influence potential through their long investment horizon, voting rights, and engagement leverage. However, the governance of Nigerian pension fund administrators and their investment stewardship practices have received limited empirical attention. Drawing on long-term investment governance theory, stewardship theory, and the ESG investment literature, this study constructs a comprehensive Pension Fund Governance and Stewardship Index for nine licensed pension fund administrators and examines its relationship with investment concentration, portfolio turnover, ESG integration, shareholder engagement activity, and equity market performance outcomes over nine years. Environmental stewardship orientation is assessed through analysis of fund managers' investment mandates, engagement letters, and proxy voting records. Structural equation modelling tests the governance-stewardship-performance pathway. Qualitative interviews with twenty-five pension fund trustees, investment managers, and PenCom officers supplement quantitative analysis. The study makes original contributions through the Pension Fund Governance and Stewardship Index, empirical identification of the governance-stewardship-performance chain, and policy propositions for PenCom's investment governance framework. Findings are directly relevant for long-term capital market development and ESG governance in Nigeria.
