The Governance-Innovation Nexus in Nigerian Listed Firms: Dynamic Capabilities, Board Knowledge, and Technological Adaptation

This dissertation investigates the relationship between corporate governance quality and innovation capacity in Nigerian listed firms, theorising the nexus through the lens of dynamic capabilities and board knowledge diversity. Innovation, broadly defined to encompass product development, process improvement, and business model transformation, is increasingly recognised as central to the long-run competitiveness of Nigerian firms facing disruption from fintech, digital platforms, and global supply chain reconfiguration. Governance is theorised to enable innovation through three mechanisms: strategic knowledge access provided by board expertise, resource mobilisation facilitated by governance credibility, and risk governance frameworks that balance innovation risk tolerance with oversight. Drawing on dynamic capabilities theory, upper echelons theory, and the governance-strategy interface literature, this study develops an original Governance-Innovation Enablement Model and tests it using a balanced panel of forty listed firms across technology, manufacturing, consumer goods, and financial services sectors over ten years. Innovation is measured using a composite index incorporating R&D expenditure intensity, patent activity, digital capability development, and product launch frequency. Board knowledge diversity is assessed using a multi-dimensional index spanning functional, educational, and experiential diversity. System generalised method of moments addresses dynamic endogeneity in the governance-innovation relationship. The study makes three original contributions: the Governance-Innovation Enablement Model, validated governance-innovation measurement instruments, and sector-heterogeneous empirical evidence on governance-driven innovation in Nigeria.
