A Professional Examination of Regulatory Compliance Obligations Under the Petroleum Industry Act 2021 for Upstream Operators

The Petroleum Industry Act 2021 fundamentally restructured Nigeria's petroleum regulatory framework, creating new regulatory agencies, commercial arrangements, and host community obligations that impose complex legal compliance requirements on upstream petroleum operators. This study provides a professional examination of the compliance obligations under the PIA 2021 applicable to upstream operators, focusing on licence conversion, host community development trust requirements, gas flaring obligations, and the new commercial tax and royalty framework. Data were gathered through structured interviews with 25 petroleum lawyers, regulatory compliance officers, and officials of the Nigerian Upstream Petroleum Regulatory Commission in Lagos and Abuja. Review of NUPRC compliance circulars, operator conversion applications, and PIA transition implementation progress reports from 2022 to 2024 was conducted. Results indicate that licence conversion from Oil Mining Licences to PIA instruments has been slower than legislatively intended, with legal disputes over conversion terms creating operational uncertainty. Host community trust implementation has been inconsistent, with most operators still in trust establishment rather than funding phases. Gas flaring compliance targets are unlikely to be met without significant infrastructure investment. The study concludes that PIA 2021 compliance is a multi-year institutional transformation, not merely a legal paperwork exercise. Recommendations include NUPRC compliance roadmaps for each operator, independent host community trust audit mechanisms, and a PIA Implementation Monitoring Committee with civil society participation.
